We reserve the right to modify project scopes through written amendments when unforeseen circumstances arise or when additional opportunities for operational enhancement are discovered during the engagement.

Client organizations are expected to provide timely access to facilities, personnel, data systems, and documentation necessary for effective project execution. Delays in providing requested information or access may impact project timelines and deliverable quality. Our methodology combines data-driven analysis with hands-on implementation support, requiring collaborative participation from your operational teams throughout the engagement lifecycle.

Intellectual Property and Confidentiality

All methodologies, frameworks, analytical models, software tools, templates, and proprietary assessment instruments developed by OPSgensia remain our exclusive intellectual property. Clients receive limited licenses to use deliverables specifically created for their projects, including process maps, implementation roadmaps, training materials, and performance dashboards. These licenses are non-transferable and restricted to internal business operations only.

We maintain strict confidentiality regarding all client information, operational data, financial metrics, strategic plans, and proprietary processes encountered during engagements. Our consultants sign comprehensive non-disclosure agreements and follow rigorous data security protocols. However, we retain the right to develop anonymized case studies and aggregate industry benchmarks from project learnings, ensuring no client-identifying information is disclosed. Clients similarly agree to protect OPSgensia's proprietary methodologies and refrain from reverse-engineering our analytical frameworks or assessment tools.

Professional Standards and Liability

OPSgensia provides consulting services based on industry best practices, established operational excellence principles, and our consultants' professional expertise across manufacturing, logistics, healthcare, technology, and retail sectors. While we strive to deliver measurable improvements in cost reduction, process efficiency, quality metrics, and throughput acceleration, actual results depend on numerous factors including client implementation commitment, organizational culture, market conditions, and resource availability.

Our liability is limited to the total fees paid for the specific engagement in question. We are not liable for indirect, consequential, special, or punitive damages arising from service delivery, implementation challenges, or business interruptions. Clients acknowledge that operational transformation involves inherent risks and that success requires sustained organizational commitment beyond our consulting engagement period. We do not guarantee specific financial outcomes, though our historical client results demonstrate consistent patterns of significant operational improvements.

Payment Terms and Cancellation Policy

Consulting fees are structured based on project complexity, duration, required expertise level, and anticipated resource commitment. Payment schedules are defined in individual engagement agreements and typically include upfront retainers with milestone-based invoicing. Invoices are due within thirty days of issuance unless alternative arrangements have been documented in writing. Late payments may incur interest charges and could result in project suspension until accounts are brought current.

Clients may request engagement modifications or early termination by providing written notice at least fifteen business days in advance. Cancellation fees apply based on work completed, resources allocated, and committed consultant time. Any deliverables produced up to the termination date become client property upon full payment of outstanding invoices. We reserve the right to terminate engagements if clients fail to meet contractual obligations, provide necessary access, or maintain respectful professional conduct with our consulting teams.

Modifications to Terms

OPSgensia reserves the right to update these Terms of Service periodically to reflect evolving business practices, regulatory requirements, or service offerings. Material changes will be communicated to active clients through direct notification. Continued use of our services following such modifications constitutes acceptance of revised terms.
